Project Termination Clauses:-

1) The termination fee and the process for reasons like deliverables not as per client expectation, Change in Scope of Work by the client or Client Behavior issue would be processed as follows:

• If the completed deliverables (i.e calculated in terms of project value) is less 10%, then a termination fee of 10% of the project value or 1st payment collected whichever is less would be levied on the client. Any extra amount other than 10% of the project value would be refunded to the client.
• If the completed deliverables (i.e calculated in terms of project value) is more than 10%, then a termination fee of 20% of the balance project value or latest payment collected whichever is less would be levied on the client. Any extra amount other than 20% of the balance project value would be refunded to the client.

• Any termination fee collected after 10% completed deliverables would be shared equally between Morff and the freelancer.

2) The termination fee and the process for reasons like Freelancer not available for more than four working days and Freelancer Behavior issue would be processed as follows:

• 100% refund of the latest payment collected would be processed to the client.

• If no proper reason is furnished by the freelancer and the issue is first time then the freelancer would not be eligible to receive projects for the next three months else the freelancer would be banned from availing any services provided by Morff.

3) The termination fee and the process for reasons like client is not available for more than four working days or client wants to terminate the project for any other reason that is listed in the agreement, then the termination would be processed as follows:

• A termination fee of 20% of the balance project value or latest payment collected whichever is less would be levied on the client. Any extra amount other than 20% of the balance project value would be refunded to the client.

• Any termination fee collected after first milestone would be shared equally between Morff and the freelancer.

4) Morff will also initiate termination if the project kick-off does not happen after signing within 15 days or 30% of the total project duration whichever is higher. The termination fee would be 10% of the project value and the project would be closed after informing the freelancer.
